Terms of Service

These terms are the agreement between you (the "Client") and Instly Co., Ltd. ("Instly", "we") for use of InstlyWalletPass. By creating an account or using the service, you accept these terms.

1. The service

InstlyWalletPass lets you design wallet card templates and issue Apple Wallet and Google Wallet passes to your customers or members, through our dashboard, our API, and our AI design assistant. We may improve or change features over time.

2. Your account and API keys

You are responsible for keeping account credentials and API keys secure and for all activity carried out with them. Tell us promptly if you believe a key has been compromised so we can rotate it.

3. Acceptable use

You agree that you will only use InstlyWalletPass to issue cards:

We may suspend issuance or an account that we reasonably believe breaches these rules.

4. Your data and responsibilities

You remain the data controller of the pass-holder data you provide, and we process it as your processor (see our Privacy Policy). You are responsible for the accuracy of that data, for having a lawful basis to provide it, and for giving any notices or obtaining any consents your customers require. You grant us the licence needed to display your logos, artwork and content on the passes you ask us to issue.

5. Fees

InstlyWalletPass is priced per card issued, with no subscription fee, as set out in your order or on our pricing page. Fees are exclusive of taxes, which you are responsible for where applicable. Charges accrue as cards are issued. Refunds are governed by our Refund Policy.

6. Intellectual property

We own the InstlyWalletPass platform, software and brand. You own your own content, logos and data, and grant us only the licence needed to provide the service. "Apple Wallet" and "Google Wallet" are trademarks of their respective owners; we are not affiliated with, or endorsed by, Apple or Google.

7. Third-party platforms

Passes are delivered through Apple Wallet and Google Wallet, which are operated by Apple and Google under their own terms. We are not responsible for those platforms' availability, decisions or policy changes.

8. Service availability and warranties

We work to keep the service reliable but provide it "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted or error-free.

9. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or lost profits or data. Our total liability arising out of or relating to the service is limited to the fees you paid to us for the service in the three months before the event giving rise to the claim.

10. Indemnity

You will indemnify us against claims arising from your content, your data, your use of the service in breach of these terms, or your infringement of a third party's rights.

11. Suspension and termination

Either party may terminate with reasonable notice. We may suspend or terminate immediately for breach of Section 3, non-payment, or where required by law or by Apple or Google. On termination we stop issuing new cards for you; already-issued cards remain subject to the wallet platforms.

12. Governing law

These terms are governed by the laws of Thailand, and disputes are subject to the courts of Thailand, unless a separate signed agreement between us says otherwise.

13. Changes

We may update these terms; we will post the new version here and, for material changes, notify account holders. Continued use after changes take effect constitutes acceptance.
